Registerable Stock definition

Registerable Stock as used herein shall be limited to Registerable Stock held by you or any such person.
Registerable Stock means shares of Common Stock issued to you in the Merger and not transferred or otherwise disposed of by you except as contemplated hereunder.
Registerable Stock means those shares of the Company's Common Stock received by the Stockholder upon exercise of any of the Warrants, provided that such shares shall no longer be Registerable Stock once such shares are (i) sold pursuant to a registration statement declared effective by the Commission under the Securities Act, or (ii) sold pursuant to Rule 144 (or any successor rule) promulgated under the Securities Act.

  • The Company shall not be obligated to effect registration of Registerable Stock pursuant to this Section 2 on more than one occasion.

More Definitions of Registerable Stock

Registerable Stock means the Conversion Stock, but only so long as such shares continue to be Restricted Stock. Any such shares shall continue to be Restricted Stock until such time as such shares (i) have been disposed of in accordance with a Registration Statement which has become effective under the Securities Act or (ii) have been publicly sold in compliance with Rule 144 (or any similar provision then in force) under the Securities Act.
Registerable Stock means those shares of Common Stock which are not held in the Escrow Fund, but only so long as such shares continue to be Restricted Stock.
Registerable Stock means the Conversion Stock, but only so long as such shares continue to be Restricted Stock. Notwithstanding the foregoing, Registerable Stock shall not include otherwise Registerable Stock (i) sold by a person in a transaction in which his rights under this Agreement are not properly assigned; or (ii)(A) sold to or through a broker or dealer or underwriter in a public distribution or a public securities transaction, or (B) sold in a transaction exempt from the registration and prospectus delivery requirements of the 1933 Securities Act under Section 4(l) thereof so that all transfer restrictions, and restrictive legends with respect thereto, if any, are removed upon the consummation of such sale or (C) the registration rights associated with such securities have been terminated pursuant to Section 11(f) of this Agreement.
Registerable Stock shall include the Xxxxx Shares, and any Securities issued or issuable with respect to the Xxxxx Shares.
Registerable Stock means (a) shares of Common Stock issued to you in the Merger and owned by you or a person or entity specified in clause (ii), (iii) or (iv) of Section 8(a) of this Agreement, and (b) any Common Stock issued or issuable with respect to the Shares by way of replacement, stock dividend, stock-split or combination of shares of Common Stock recapitalization, merger, consolidation, reorganization, or otherwise (unless such shares have been already registered under the Securities Act); provided, however, that such shares of Common Stock shall cease to be Registerable Stock when sold pursuant to a registration statement filed pursuant to the Agreement.
Registerable Stock means: (i) any shares of the Common Stock of the Company issued to you in connection with the Stock Purchase Agreement, together with any additional shares of Common Stock issued or distributed to you by way of a dividend, stock split or other distribution in respect of the shares described in clause (i) above effected without the receipt of consideration therefor, (ii) any additional shares of Common Stock acquired by you by way of any rights offering or similar offering made in respect of the shares described in clause (i) above, and (iii) any additional shares of Common Stock issued or issuable to you upon conversion, exercise or exchange of any capital stock, right, option, warrant, evidence of indebtedness or other security of any type whatsoever that shall have been issued with respect to the shares described in clause (i) above and not transferred or otherwise disposed of by you except as contemplated hereunder.
Registerable Stock means: (i) all Warrant Shares which are issuable to the Warrantholders pursuant to the Warrants, whether or not the Warrants have in fact been exercised and whether or not such warrant Shares have in fact been issued, (ii) all Warrant Shares acquired by the Warrantholders pursuant to the Warrants, and (iii) any shares of Common Stock, whether or not such shares of Common Stock have in fact been issued, and stock or other securities of the Company issued upon conversion of, in a stock split or reclassification of, or a stock dividend or other distribution on, or in substitution or exchange for, or otherwise in connection with, such Warrant Shares. For purposes of Section 11, a Warrantholder of record shall be treated as the record holder of the related Warrant Shares and other securities pursuant to the warrants.
