Qualifying Public Equity Offering definition

Qualifying Public Equity Offering means either (x) one or more underwritten public offerings of common equity securities of the Company pursuant to an effective registration statement filed under the 1933 Act (excluding registration statements filed on Form S-8, or any similar successor form) resulting in aggregate gross proceeds to the Company of $100,000,000 or more or (y) the listing of the Common Stock on a national securities exchange or authorization for quotation on the Nasdaq National Market System for which there is a public float of least $100,000,000 held by non-Affiliates of the Company. "RECAPITALIZATION AGREEMENT" see the recitals to this Agreement.
Qualifying Public Equity Offering means an initial Public Equity --------------------------------- Offering that results in cash proceeds to the Borrower (net of all associated fees, costs, and commissions) of at least $50,000,000.
