PWC Resolution definition

PWC Resolution means the resolution of the Shareholders to be considered and voted upon by the Shareholders at the Fording Meeting, appointing PricewaterhouseCoopers LLP as auditor of the Fund;
PWC Resolution means the resolution of the Shareholders, in substantially the form attached as Appendix I to this Information Circular, to be considered and voted upon by the Shareholders at the Meeting;
PWC Resolution means the resolution, substantially in the form attached as Appendix “D” to this Third Supplement, appointing PricewaterhouseCoopers LLP as auditor of the Fund to be considered and voted upon by the Shareholders at the Meeting;

Examples of PWC Resolution in a sentence

  • Further, and in the event that the Unitholder Rights Plan, the Key Employee Unit Option Plan and the PWC Resolution are each duly approved by the requisite majority of Shareholders at the Meeting, on the Effective Date, the Unitholder Rights Plan, the Key Employee Unit Option Plan and the appointment of PricewaterhouseCoopers LLP, Chartered Accountants as auditors of the Fund will become effective.

  • With respect to amendments or variations of the Amended Arrangement Resolution, the Unitholders Rights Plan Resolution, the Key Employee Unit Option Plan Resolution or the PWC Resolution, or other matters which may properly come before the Special Meeting, the undersigned hereby confers discretionary authority on the undersigned’s proxyholder to vote on such amendments or variations or such other matters in accordance with the proxyholder’s judgement.

  • If no designation is specified with respect to the matter, the common shares represented by this proxy shall be voted FOR the approval of the Amended Arrangement Resolution, the Unitholder Rights Plan Resolution, the Key Employee Unit Option Plan Resolution and the PWC Resolution.

  • If no designation is specified with respect to the matter, the common shares represented by this proxy shall be voted FOR the approval of the Enhanced Arrangement Resolution, the Unitholder Rights Plan Resolution, the Key Employee Unit Option Plan Resolution and the PWC Resolution.

Related to PWC Resolution

  • unanimous resolution means, subject to subsection (3) -

  • Special Resolution means a resolution passed by a majority of not less than two-thirds (2/3) of the votes cast on that resolution.

  • Supplemental Resolution means any resolution or resolutions of the Trust amending, modifying or supplementing this Bond Resolution, authorizing the issuance of a Series of Refunding Bonds, or any other Supplemental Resolution adopted by the Trust pursuant to the provisions of this Bond Resolution.

In computing the majority when a poll is demanded regard shall be had to the number of votes to which each Member is entitled by the Articles.

  • Amalgamation Resolution means the special resolution of the Shareholders concerning the Amalgamation to be considered at the Meeting, substantially in the form set out in Appendix A to the Circular;

  • Special Resolution Regime means each of (i) the Federal Deposit Insurance Act and the regulations promulgated thereunder and (ii) Title II of the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act and the regulations promulgated thereunder.

  • Authorizing Resolution means a resolution adopted by the Board of Directors or by an Officer or committee of Officers pursuant to Board delegation authorizing a Series of Securities.

  • Extraordinary Resolution has the meaning set forth in Section 7.11(1);

  • Guarantor’s Board Resolution means a copy of one or more resolutions, certified by the Secretary or an Assistant Secretary of the Guarantor to have been duly adopted by the Guarantor's Board of Directors and to be in full force and effect on the date of such certification, delivered to the Trustee.

  • Board Resolutions means the board resolutions to be signed by us (where we are a company) pursuant to the opening of our Account(s) with you.

  • EEA Resolution Authority means any public administrative authority or any person entrusted with public administrative authority of any EEA Member Country (including any delegee) having responsibility for the resolution of any EEA Financial Institution.
