Certified Resolution definition

Certified Resolution means a copy of a resolution certified by the Secretary or an Assistant Secretary of the Company to have been duly adopted by the Board of Directors and to be in full force and effect on the date of such certification.
Certified Resolution means a copy of a resolution of the City Council, certified by the City Administrator to have been duly adopted by said City Council and to be in full force and effect on the date of such certification.
Certified Resolution means a copy of a resolution of the Issuer certified by the City Clerk of the Issuer to have been duly adopted by the Issuer and to be in full force and effect on the date of such certification.
