Purchase and Sale of the Property has the meaning set forth in the recitals. “Purchase and Sale of the Specified Assets” has the meaning set forth in the recitals. “Purchase Price” has the meaning set forth in Section 3.3(b). “Purchase Price Allocation” has the meaning set forth in Section 3.3(a). “Purchased Assets” has the meaning set forth in the recitals. “Purchased Contract” has the meaning set forth in Section 2.1(a). “Purchaser” has the meaning set forth in the preamble. “Real Property” has the meaning set forth in the REPA. “Recovery” has the meaning set forth in Section 7.4. “Refund Amount” has the meaning set forth in the Spartanburg Hosting Termination Agreement. “Releasees” has the meaning set forth in Section 8.8. “REPA” has the meaning set forth in the recitals. “REPA Parties” means, collectively, the “Parties” as that term is defined in the REPA.

  • Purchase and Sale Agreement means the Purchase and Sale Agreement, dated as of the Closing Date, among the Servicer, the Originators and the Borrower, as such agreement may be amended, supplemented or otherwise modified from time to time.

  • Sale of the Painting means the transfer of title and ownership of the Painting to an un-Affiliated third-party and receipt by the Company of value therefor as determined by the Board.

  • Sale of the Artwork means the transfer of title and ownership of the Artwork to an un-Affiliated third-party and receipt by the Company of value therefor as determined by the Board.

  • Closing means the closing of the purchase and sale of the Securities pursuant to Section 2.1.

  • Acquisition Assets With respect to an Acquisition, the aggregate net assets as of the effective date of such Acquisition of all Acquired Funds.

  • Acquired Assets has the meaning set forth in Section 2.1.

  • Closings means the First Closing and the Second Closing.

  • Purchase Transaction means a purchase of scrap metal, or the purchase of property described in section 10 if the knowing purchase or offer to purchase that property is not prohibited by that section, by a scrap metal dealer. The term does not include any of the following:

  • Pawn transaction means the same as that term is defined in Section 13-32a-102.

  • Purchase and Sale Termination Date has the meaning set forth in Section 1.4 of the Sale Agreement.

  • Purchased Assets has the meaning set forth in Section 2.1.

  • Sold Assets has the meaning set forth in Section 2.01(b).

  • Contemplated Transactions all of the transactions contemplated by this Agreement, including:

  • Company Acquisition Transaction means any transaction or series of transactions involving:

  • Transferred Assets means the assets, rights and properties of the Sellers that the Purchasers shall acquire as of the Closing.

  • First sale means and include the first sale or distribution of cigarettes in intrastate commerce, or the first use or consumption of cigarettes within this state.

  • Purchase and Sale Termination Event has the meaning set forth in Section 8.1 of the Sale Agreement.

  • Acquisition Transactions means the transactions contemplated by the Acquisition Agreement.

  • Hostile Acquisition means the acquisition of the capital stock or other equity interests of a Person through a tender offer or similar solicitation of the owners of such capital stock or other equity interests which has not been approved (prior to such acquisition) by resolutions of the Board of Directors of such Person or by similar action if such Person is not a corporation, and as to which such approval has not been withdrawn.

  • Contributed Assets shall have the meaning as set forth in Section 2.2.

  • Sale as used in this paragraph shall have the meanings ascribed thereto by governing law and any interpretation thereof contained in rules or regulations promulgated by the Securities and Exchange Commission thereunder.

  • Second Closing has the meaning set forth in Section 2.2.

  • REO Acquisition The acquisition by the Master Servicer on behalf of the Trustee for the benefit of the Certificateholders of any REO Property pursuant to Section 3.14.

  • Purchased Student Loan means a Trust Student Loan which is, as of the close of business on the last day of a Collection Period, purchased by the Servicer pursuant to Section 3.5 of the Servicing Agreement or repurchased by the Depositor pursuant to Section 6 of the Sale Agreement, repurchased by SLC pursuant to Section 6 of the Purchase Agreement or sold to another eligible lender holding one or more Serial Loans with respect to such Trust Student Loan pursuant to Section 3.12E or Section 3.12F of the Servicing Agreement.

  • Acquisition means (a) the purchase or other acquisition by a Person or its Subsidiaries of all or substantially all of the assets of (or any division or business line of) any other Person, or (b) the purchase or other acquisition (whether by means of a merger, consolidation, or otherwise) by a Person or its Subsidiaries of all or substantially all of the Equity Interests of any other Person.

  • Subject Assets is defined in Section 2.2(c).
