None of the execution, delivery or performance of this Agreement, nor the consummation of any of the Contemplated Transactions, will violate any of the Privacy Agreements, Privacy and Data Security Policies or any applicable Privacy Laws.
This Agreement and all disputes or controversies arising out of or relating to this Agreement or the Contemplated Transactions, including the applicable statute of limitations, shall be governed by and construed in accordance with the Laws of the State of Delaware, without giving effect to any choice of law or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction) that would cause the application of the Law of any jurisdiction other than the State of Delaware.
Each of the Parties hereto will use all reasonable efforts to take, or cause to be taken, all actions as are to be taken by each of them, respectively, or cause to be done all things reasonably necessary or advisable to consummate and make effective as promptly as reasonably practicable the Contemplated Transactions.
Without limiting the generality of the foregoing, each of the Parties shall use reasonable best efforts to obtain, file with, or deliver to, as applicable, any Consents of any Governmental Authorities necessary, proper or advisable to consummate the Contemplated Transactions or the Ancillary Documents.
No Third Party Actions shall be pending or threatened seeking to obtain damages in connection with, or to restrain, prohibit, invalidate, set aside, in whole or in part, the consummation of this Agreement or the Contemplated Transactions, or which if successful, could have a Material Adverse Effect on any Party, or any Order providing for any of the foregoing.
