Provided Software definition

Provided Software means any software which Paladin has made available by any means to Customer. Generally this refers to but is not limited to the Watchtower software.
Provided Software has the meaning set out in Section 8.2. “Relevant Materials” has the meaning set out in Section 18.1. “Relevant Party” has the meaning set out in Section 12 (Disclaimer).

Examples of Provided Software in a sentence

  • The parties’ information about their respective business plans, products, research and development activities, marketing plans, patient and customer information, prices and the pricing provisions of this or other agreements between the parties, as well as the Hill-Rom Provided Software shall be deemed to be confidential.

  • Subject to the terms herein, Hill-Rom grants end user a personal, non-exclusive, non-transferable, limited license (or sublicense in the case of Third Party Programs) to use the Hill-Rom Provided Software in object code form at the designated health care facility solely for use with the Products.

  • In the event of a termination of this Agreement, due to a material breach by Customer, Customer shall immediately de-install and return the Hill-Rom Provided Software and neither party shall have any additional obligations except for (a) obligations accruing up to and including the date of termination, and (b) obligations arising as a result of any breach of this Agreement.

  • Both parties’ obligations under this section shall continue for three (3) years from the last date of disclosure or three (3) years from the date when all Products under this Agreement are de-installed, licenses terminated, and the Hill-Rom Provided Software is returned to Hill-Rom; whichever occurs first.

  • Hill-Rom shall not be responsible for correcting errors not attributable to or that do not relate to the Hill-Rom Provided Components or Hill-Rom Provided Software.

Related to Provided Software

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Customized Software or “Customization” means any Application Software code modified or amended on behalf of the Customer. Setting of parameters, parameterization or configuration is not a Customization.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.
