The purpose of this Agreement is to facilitate the implementation of the Project in accordance with the Shipyard Redevelopment Plan, the BVHP Redevelopment Plan, Proposition G, the DDA and the other Plan Documents.
Proposition G established a City policy to encourage the timely development of the Project Site, including providing the New Stadium Site for the 49ers.

Proposition G also encouraged the development of the Project Site with alternative uses if the 49ers do not timely elect to build the New Stadium on the New Stadium Site.
Proposition G requires the creation of or a binding commitment to create new public park or open space land areas at least equal in size to the portion of the Property under RecPark jurisdiction to be conveyed or used for non-recreational purposes, as more particularly described in Proposition G (the “Proposition G Conveyance Requirement”).
Accordingly, the Agency covenants and agrees: (A) to convey the Property to Developer as and when required under the DDA, subject to satisfaction of the conditions of transfer set forth in the DDA, including the Proposition G Conveyance Requirement, and (B) to not convey any part of the Property to Developer or any other party in violation of the Proposition G Conveyance Requirement.

The City agrees to convey the Property to the Agency, and the Agency agrees to use and dispose of the Property, in furtherance of the Project and for no other purpose, and in accordance with the requirements of Proposition G.
