Prepayment Failure definition

Prepayment Failure shall have the meaning specified in Section 2.7(b) hereof.

  • Borrower hereby agrees that, in the event Borrower delivers a Prepayment Notice and fails to prepay the Loan in accordance with the Prepayment Notice and the terms of this Section 2.7 (a “Prepayment Failure”), Borrower shall indemnify Lender from and against, and shall be responsible for, all Losses (including any consequential damages) incurred by Lender with respect to any such Prepayment Failure.

  • Mandatory Prepayment Date as defined in Section 2.12(e).
