Prepayment Failure shall have the meaning specified in Section 2.7(a) hereof. “Prepayment Notice” shall have the meaning specified in Section 2.7(a) hereof. “Prepayment Premium” shall mean with respect to any repayment or prepayment of the Debt made (i) on or prior to the Monthly Payment Date in April, 2025, an amount equal to the Interest Compensation Payment, and (ii) thereafter, an amount equal to zero dollars ($0.00).

Examples of Prepayment Failure in a sentence

  • Borrower hereby agrees that, in the event Borrower delivers a Prepayment Notice and fails to prepay the Loan in accordance with the Prepayment Notice and the terms of this Section 2.7 (a “Prepayment Failure”), Borrower shall indemnify Lender from and against, and shall be responsible for, all Losses (including any consequential damages) incurred by Lender with respect to any such Prepayment Failure.
