Definition of Post-Acquisition Liquidity


Post-Acquisition Liquidity means the sum of Unutilized Total Commitment (as defined in the Credit Agreement) and any unencumbered cash balances of Parent and its Subsidiaries.

Examples of Post-Acquisition Liquidity in a sentence

Prior to and after giving effect to the consummation of the Florence Acquisition, the Borrowers will, after giving effect to such Acquisition, on a pro forma basis, have Post-Acquisition Liquidity of no less than $50,000,000.
Post-Acquisition Liquidity shall mean the sum of the Unutilized Total Commitment and any unencumbered cash balances of the Borrower and its Subsidiaries.
