The Borrower covenants and agrees that the proceeds of the Loans will be used exclusively to (a) finance the Specified Acquisition and (b) pay fees, commissions and expenses in connection with the Transactions.
The Borrower intends to acquire, directly or through subsidiaries or affiliates, from Piedmont Natural Gas Company, Inc., a North Carolina corporation (the “Seller”), all of the Seller’s right, title and interest in and to the Purchased Assets (as defined in the Specified Acquisition Agreement and as hereinafter referred to as, the “Specified Acquired Business”).
