Such fees shall include an upfront fee to each Lender, payable to the Administrative Agent on behalf of the Lenders on the Specified Acquisition Consummation Date, in an amount equal to (x) 0.075% multiplied by (y) such ▇▇▇▇▇▇’s Term Commitment as of the Specified Acquisition Consummation Date.
Any portion of the Specified Acquisition Term Commitment not drawn on or prior to the Term Commitment Expiration Date shall automatically terminate at 11:59 New York City time on such date without any further action being taken by the Borrowers or any other party hereto.
Each such notice shall specify (i) whether Specified Acquisition Term Loans, Target Note Redemption Term Loans, or all Term Loans, ratably, are being prepaid, (ii) the date and amount of such prepayment, and (iii) the Type(s) of Term Loans to be prepaid, and if Term SOFR Loans are to be prepaid, the Interest Period(s) of such Term Loans.
If a Borrower fails to indicate whether Specified Acquisition Term Loans or Target Note Redemption Term Loans are being repaid, then the Administrative Agent shall apply the applicable prepayment ratably across both categories of Term Loans.
As of the Closing Date and as of the Specified Acquisition Consummation Date, the information included in any Beneficial Ownership Certification delivered pursuant to this Agreement, if applicable, is true and correct in all respects.
