Petition Date means the date on which the Debtors commenced the Chapter 11 Cases.
Separation Time means the close of business on the tenth Trading Day after the earlier of:
Resolution Time means 1:00 p.m. New York time on the Local Business Day following the date on which the notice of the dispute is given under Paragraph 5.
Notification Time means 11:00 a.m., New York time, on a Local Business Day.
Pre-Closing Tax Period means any Tax period ending on or before the Closing Date.
Execution Time means the date and time that this Agreement is executed and delivered by the parties hereto.
Chapter 11 Case has the meaning set forth in the Recitals.
Post-Closing Tax Period means any taxable period beginning after the Closing Date and the portion of any Straddle Period beginning after the Closing Date.
Distribution Time means the time at which the Distribution is effective on the Distribution Date.
Bankruptcy Case has the meaning assigned to such term in Section 2.05(b).
Termination Time means the time at which the right to exercise Rights shall terminate pursuant to Section 5.1.
Petition means a written request to the court for an order after notice.
Bankruptcy Cases has the meaning set forth in the Recitals.
Creditors’ Meeting means the meeting of the Affected Creditors called for the purpose of considering and voting upon the Proposal;
Chapter 11 Cases means (a) when used with reference to a particular Debtor, the case pending for that Debtor under chapter 11 of the Bankruptcy Code in the Bankruptcy Court and (b) when used with reference to all the Debtors, the procedurally consolidated chapter 11 cases pending for the Debtors in the Bankruptcy Court.
Pre-Closing Taxable Period means with respect to any tax, any applicable taxable period ending on or prior to consummation of the transactions contemplated hereby on the Closing Date or the allocable portion of any applicable taxable period that includes but does not end on the Closing Date.
Pre-Closing Tax Periods means any and all Tax periods that end on or before the Closing Date and the portion of any Straddle Period ending at the end of day on which the Closing occurs.
Tax Period means, with respect to any Tax, the period for which the Tax is reported as provided under the Code or other applicable Tax Law.
Pre-Closing Tax Returns has the meaning specified in Section 8.04(a).
Market Seller Offer Cap means a maximum offer price applicable to certain Market Sellers under certain conditions, as determined in accordance with Tariff, Attachment DD. section 6 and Tariff, Attachment M-Appendix, section II.E.
Expiration Time has the meaning set forth in Section 3.
Pre-Closing Tax Return has the meaning set forth in Section 7.1(a).
Confirmation Date means the date upon which the Bankruptcy Court enters the Confirmation Order on the docket of the Chapter 11 Cases, within the meaning of Bankruptcy Rules 5003 and 9021.
Voter registration deadline means the registration deadline provided in Section 20A-2-102.5.
Bankruptcy Court has the meaning set forth in the Recitals.
U.S. Bankruptcy Court means the United States Bankruptcy Court for the Southern District of New York.
