Permitted Synthetic Lease definition

Permitted Synthetic Lease means that certain Amended and Restated Master Lease Agreement, dated as of June 27, 2011 (as amended from time to time), by and between SunTrust Bank, as Lessor, and the Borrower, as Lessee, which Synthetic Lease shall not evidence Attributable Indebtedness of the Lessee in excess of $75,000,000, including any extensions, renewals, replacements (which may include sale-leasebacks) and refinancings in respect thereof, provided the Attributable Indebtedness of the Lessee as a result thereof does not exceed $75,000,000.

  • Synthetic Debt means, with respect to any Person as of any date of determination thereof, all obligations of such Person in respect of transactions entered into by such Person that are intended to function primarily as a borrowing of funds (including any minority interest transactions that function primarily as a borrowing) but are not otherwise included in the definition of “Indebtedness” or as a liability on the consolidated balance sheet of such Person and its Subsidiaries in accordance with GAAP.
