Parent Prepared Returns definition

Parent Prepared Returns shall have the meaning set forth in Section 7.5(a).

Examples of Parent Prepared Returns in a sentence

  • Subject to the preceding sentence, no later than ten (10) days after the receipt of such Tax Returns, CPLG shall have a right to comment on such LQ Parent Prepared Returns (or portions thereof) by written notice to LQ Parent; such written notice shall contain any disputed item (or items) and the basis for the comment.

  • With respect to any LQ Parent Prepared Returns that includes any member of the CPLG Group, LQ Parent shall provide CPLG with a copy of each such proposed Tax Return (or, if such LQ Parent Prepared Returns include members of the LQ Parent Group, solely the portion thereof relating to any member of the CPLG Group) for review and comment at least twenty (20) days prior to the filing of such Tax Return.

  • All expenses relating to the preparation and filing of LQ Parent Prepared Returns shall be borne by LQ Parent.

  • Parent shall prepare, or cause to be prepared, any such Parent Prepared Returns consistent with the past practices of the Company unless otherwise required by applicable Legal Requirements.

  • LQ Parent shall file or cause to be filed all such LQ Parent Prepared Returns with the applicable Taxing Authority to the extent a member of the LQ Parent Group is responsible under applicable Law for filing such Tax Returns, and CPLG shall cooperate (or cause its Subsidiaries to cooperate) in the filing of such Tax Returns to the extent a member of the CPLG Group is responsible for filing such Tax Returns under applicable Law.

  • Parent shall consider in good faith any timely-received, reasonable comments made by the Stockholders’ Representative to Parent Prepared Returns.

  • Parent will provide or make available to the Stockholders’ Representative copies of all Parent Prepared Returns at least thirty 30 days prior to the due date for filing such Parent Prepared Return (or, if such due date is within 60 days following the Closing Date, as promptly as practicable following the Closing Date).

  • Parent shall prepare such Parent Prepared Returns in a manner consistent with the past practice of the Company, except to the extent inconsistent with Applicable Law and shall timely pay any Taxes shown thereon (subject to its indemnification rights pursuant to this Agreement).

  • Parent shall prepare Parent Prepared Returns for any Taxable period that ends on or before the Closing Date in a manner consistent with the past practice of the Company and its Subsidiaries, to the extent consistent with applicable Law and shall timely pay any Taxes shown thereon (subject to its indemnification rights pursuant to this Agreement).

  • To the extent any Taxes shown on Parent Prepared Returns prepared in accordance with this Section 5.3(a) are subject to indemnification under Section 8.1, Parent shall be entitled to reimbursement from the Participating Securityholders (in accordance with their Ownership Percentages), or at the election of Parent, under the procedures set forth in the last sentence of Section 8.8.

Related to Parent Prepared Returns

  • Tax return preparer means any individual described in Section 7701(a)(36) of the Internal Revenue Code and 26 C.F.R. 301.7701-15 .

  • Combined Return means any Tax Return (other than for Federal Income Taxes) filed on a consolidated, combined (including nexus combination, worldwide combination, domestic combination, line of business combination or any other form of combination) or unitary basis wherein Holdings or one or more Holdings Affiliates join in the filing of such Tax Return (for any taxable period or portion thereof) with Continental or one or more Continental Affiliates.

  • Consolidated Return means a Tax Return filed with respect to Federal Income Taxes for the Consolidated Group.

  • Joint Return means any Return of a member of the Parent Group or the SpinCo Group that is not a Separate Return.

  • Current Return means the minimum fair combined rate of return on common equity required for

  • Preferred Return means any payment made or to be made on any Preferred Partnership Unit corresponding to any dividend paid or to be paid on the related series of preferred stock issued by the Company, in accordance with Section 4.3 hereof.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Scheduled Return Date means the date on which You are originally scheduled to return to the point of origin or the original final destination of Your Trip.

  • Required Reports Collectively, the Monthly Report, the Servicer’s Certificate required pursuant to Section 6.10(c), the financial statements of the Servicer required pursuant to Section 6.10(d), the annual statements as to compliance required pursuant to Section 6.11, and the annual independent public accountant’s report required pursuant to Section 6.12.

  • Returns means the amount yielded by an investment and in particular, though not exclusively, includes profit, interest, capital gains, dividends, royalties or fees.

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • Closing Financial Statements has the meaning set forth in Section 6.22.

  • Pre-Closing Tax Returns has the meaning specified in Section 8.04(a).

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Non-profit making companies means companies set up under the Companies Act, 1956/Companies Act 2013.
