Owned IP Assets definition

Owned IP Assets means the Intellectual Property owned by the Purchased Companies.

Owned IP Assets shall have the meaning set forth in Section 3.19(k)(iv).

Owned IP Assets means all IP Assets other than Third-Party IP Assets.

• All registration agreements with respect to material Internet domain names that are included within the Owned IP Assets are in full force and effect.

• Subject to any applicable provisions set forth on Exhibit M or a separate agreement between the joint owners thereof with respect to specific Jointly Owned IP Assets, each respective owner shall have the right to make, use, sell, copy, distribute, import, develop Derivative Works or enhancements of, and publicly perform and display, for any purpose, any Jointly Owned IP Assets without any obligation (including any obligation to account or pay royalties) or liability to the other owner(s).

• To the Company’s knowledge, the Owned IP Assets are not currently being challenged in any way and are not involved in any pending or threatened interference proceeding.

• Each Party will be responsible for, and will pay all expenses (whether incurred before or after the Closing) involved in notarization, authentication, legalization or consularization of the signatures of any of the representatives of its Group on any of the Transfer Documents relating to the transfer of the Foxtail Owned IP Assets.

• As of the Closing Date, all Business IP Assets will be exclusively owned or, in the case of Jointly Owned IP Assets, jointly owned, by a Purchased Entity.

• Encourage and support the beautification of the entrance corridor into Skidegate Landing.

• At our request the Customer must notify us of the addresses of his own customers.

• This assumption is plausible because personality traits are heritable and remain relatively stable over longer periods of time, especially in adulthood (Cobb-Clark & Schurer, 2012; Rantanen et al., 2007; Wortman et al., 2012).The Big Five are generated via a factor analysis, with which the fifteen items are condensed into factor scores standardized to a mean of zero and a standard deviation of one for each of the five personality traits.

• No Person (including any employees, officers or independent contractors who have performed services related to the Business), other than GG-TN or GG-GA holds or has asserted any rights in any of the Owned IP Assets.

• Except as set forth on Schedule 2.5 hereto, no licenses, sublicenses, covenants or agreements have been granted or entered into by the Company with respect to the Owned IP Assets.
