Assigned Intellectual Property definition

Assigned Intellectual Property has the meaning set forth in Section 2.1 (Assigned Intellectual Property).
Assigned Intellectual Property means the Patent Rights, Trademark Rights, Domain Name Rights and Know-How.
Assigned Intellectual Property means all of the Intellectual Property and Information owned by Seller or its Affiliates that is used or held for use primarily in the operation or conduct of the Seller Business and is being assigned to Buyer pursuant to this Agreement.

  • CONTRACTOR shall not have any liability for infringement or misappropriation if the alleged infringement or misappropriation would not have occurred except for ULA’s unauthorized modification of the Work and/or Assigned Intellectual Property or unauthorized combination with other articles, materials, supplies, goods or Intellectual Property.

  • In case any Work or Assigned Intellectual Property provided hereunder in any suit is held to be in violation of such third party’s Intellectual Property rights and its use is enjoined, CONTRACTOR shall at its option and expense (i) procure for ULA the right to continue using the Work and/or Assigned Intellectual Property, or (ii) modify the same to make it non-infringing, or (iii) replace the same with Work and/or Assigned Intellectual Property that is non-infringing and acceptable to ULA.


More Definitions of Assigned Intellectual Property

Assigned Intellectual Property means individually and collectively, (a) the Assigned Domain Names, (b) the Assigned Patents, (c) the Assigned Trademarks and in each case (a), (b) and (c) all rights (i) to file for and prosecute applications for the same and (ii) with respect to causes of action and enforcement thereof including rights to pursue damages, injunctive relief of other remedies with respect thereto.
Assigned Intellectual Property shall have the meaning set forth in Section 1.1(E).
Assigned Intellectual Property means any and all Intellectual Property that is in whole or in part authored, conceived, created, developed, discovered, invented, learned, made, originated, prepared, or reduced to practice by Employee, either alone or together with others, during or after the Employment Period and (A) arises out of, is based upon, or incorporates any Confidential Information; (B) is made through the use of equipment, facilities, supplies, funds, or other property of Athena or any of its affiliates; or (C) arises out of or relates to work performed by Employee for Athena or any of its affiliates.
Assigned Intellectual Property shall have the meaning set forth in the Intellectual Property Agreement.
Assigned Intellectual Property has the meaning set forth in Section 2.1(g). “Assigned Leases” has the meaning set forth in Section 2.1(b).
Assigned Intellectual Property shall have the meaning set forth in Section 2.1(a)(vi).
Assigned Intellectual Property means all Intellectual Property and Software (including without limitation the items set forth in Section 3.20(a)(i) of the Disclosure Schedule) owned by Seller and/or its Subsidiaries and exclusively used in the Business. Notwithstanding any provision to the contrary, Assigned Intellectual Property does not include Intellectual Property used by Seller and/or any Selling Subsidiary in any other of their respective businesses other than the Business.
