No further corporate proceedings on the part of the OVB Board, or the OVB shareholders are necessary in order to authorize or approve this Agreement or to consummate the Contemplated Transactions, including the Merger.
Prior to the Effective Time, the Nominating and Corporate Governance Committee of OVB shall recommend to the OVB Board one (1) individual from the MLB Board to serve on the OVB Board following the Effective Time.
The execution and delivery of this Agreement and the consummation of the Merger and the other Contemplated Transactions have been duly and validly approved by the OVB Board.
