Ohio Wires definition

Ohio Wires means Ohio Wires LLC, a to-be-formed Ohio company and the affiliate company to which the Company may transfer its Transmission and Distribution Business.

  • In the case of an Ohio Wires Exchange Offer as set forth above, Ohio Wires will be subject, notwithstanding any other provision hereof, with respect to timing, to the requirement that it consummate the Ohio Wires Exchange Offer within 150 days from the date of Legal Separation.

  • Subject to Sections 2.08 and 3.04, the Company, or the successor to the Series I Notes, as the case may be, may merge or consolidate with any corporation or sell substantially all of its assets as an entirety as long as the successor or purchaser expressly assumes the payment of principal, and premium, if any, and interest on the Series I Notes or the Ohio Wires Notes, as the case may be.

  • If a holder of a Series I Note fails to elect to retain such note, unless otherwise required by law, such Holder will be deemed to have exercised his option to exchange such note for an Ohio Wires Note.

  • Notwithstanding the foregoing, upon consummation of the Ohio Wires Exchange Offer, Holders of the 2013 Notes shall be permitted to exchange such 2013 Notes for Ohio Wires Notes as set forth in Section 7 of the Registration Rights Agreement and in a manner mutually acceptable to the Trustee and the Company.

  • To the extent Legal Separation occurs, Ohio Wires shall be subject to the same obligations as discussed above with respect to Ohio Wires Notes.

  • To the extent Legal Separation occurs, a Holder of Notes or Exchange Notes shall be entitled to the same relief with respect to Ohio Wires' obligations under Section 7.

  • Central Office Switch (CO means the switching entity within the public switched Telecommunications network, including but not limited to:

  • Firefighter means any regular, paid or volunteer, member of a lawfully constituted fire department of a municipal corporation, township, fire district, or village.

  • Serving Wire Center (SWC) means a Wire Center that serves the area in which the other Party’s or a third party’s Wire Center, aggregation point, point of termination, or point of presence is located.

  • Connector means a flanged, screwed, welded, or other joined fitting used to connect two pipelines or a pipeline and a piece of process equipment.

  • State archives means the Division of Archives and Records Service created in Section 63A-12-101.

  • Interstate system means that portion of the national system of interstate and defense highways, located within this state, as officially designated, or as may hereafter be designated, by the commissioner, and approved by the secretary of transportation of the United States, pursuant to title 23 of the United States Code;

  • SITC means the Standard International Trade Classification, Revision 3 (SITC, Rev. 3), published by the United Nations in Statistical Papers, Series M, No. 34/Rev. 3 (1986);

  • Connect means the installation of the Connection Equipment in such a way that (subject to Energisation) the Customer may import electricity to, and/or export electricity from, the Customer’s Installation over the Distribution System at the Connection Point;

  • Towers means the communications towers on the Sites.
