Offered Consideration definition

Offered Consideration has the meaning ascribed thereto in Subsection 2.1(a);

Offered Consideration means the consideration to be paid by the Offeror for the Shares taken up under the Offer;

• If on or after the date hereof, the Company declares, sets aside or pays any dividend or other distribution to the Shareholders of record as of a time prior to the Expiry Time, Kootenay shall make such adjustments to the Offered Consideration as it determines acting in good faith to be necessary to restore the original agreement of the parties in the circumstances.
