Base Consideration definition

Base Consideration has the meaning set forth in Section 1.2.

  • The consideration for the transfer of the Assets shall be the payment by the Buyer to Xxxx-XxXxx of the Base Consideration as adjusted pursuant to this Agreement plus any VAT thereon.
