As additional Exchange Consideration, at such times as provided in this Section 3.8, if the Company achieves a Milestone, the Purchaser shall pay to Shareholder the applicable Milestone Consideration.
The date on which the Closing actually occurs is hereinafter referred to as the “Closing Date.” At the Closing, the Shareholder shall transfer all of the Company Shares to the Purchaser, and the Purchaser Parties shall cause the Closing Exchange Consideration to be issued to the Shareholder.

On the Closing Date, Purchaser shall cause Efficiency to deliver to Shareholder, the Closing Exchange Consideration, represented by certificate or book-entry, upon Purchaser’s receipt of all of Shareholder’s Company Shares, which shall represent all outstanding securities of the Company, together with executed stock powers in a form reasonably acceptable to Purchaser and its legal counsel.
Purchaser shall cause Efficiency or the depositary bank as applicable, pursuant to irrevocable instructions, to pay the Closing Exchange Consideration to Shareholder on the Closing Date out of the Closing Exchange Shares in accordance with the applicable provisions contained in this Agreement.
