NWC Estimate definition

NWC Estimate has the meaning given to it in Section 2.5(a).
NWC Estimate means Sellers’ good faith estimate of the Closing Date Net Working Capital.
NWC Estimate means Seller’s good faith estimate of Net Working Capital delivered in writing to Buyer at least three (3) Business Days prior to the Closing.

  • The existence of any such dispute with respect to the NWC Estimate, the Hydrocarbon Inventory Estimate, the Indebtedness Estimate, the Transaction Expenses Estimate, and the Tax Insurance Policy Costs Estimate shall not delay or otherwise affect the Closing, it being understood that the respective amounts determined by each of Seller and Buyer pursuant to this Section 2.6(a) shall be used for purposes of determining the amount to be paid by Buyer pursuant to Section 2.5(a).

  • If the actual Net Working Capital, MTM Value of the Trading Book, or Credit Support Payment (as agreed between the Parties or as determined pursuant to clause (c) below) is greater than the NWC Estimate, MTM Estimate, or Credit Support Payment Estimate, as applicable, then Buyer shall pay Seller an amount equal to the difference between such amounts in accordance with Section 2.7(d).

  • Cost Estimate means the detailed projected expenditure, including material costs and overhead, equipment costs and overhead, labor costs and overhead, and all taxes associated with each major material and service component, required for a line extension. It shall also separately identify any incremental costs associated with providing premium services. The Company may, for the purpose of standardization, establish standard construction cost estimates, for basic or premium service plans, which shall not exceed, in any event, the average cost of constructing such line extensions in the area involved, in which case the term “cost estimate” as used in this section will be understood to mean the standard estimate thus established.

  • Intrinsic Loss Estimate means total losses under the shared loss agreements in the amount of eighty one million dollars ($81,000,000).
