Nutaaq Pipeline Organizational Documents definition

Nutaaq Pipeline Organizational Documents means, collectively, (i) the certificate of formation of Nutaaq Pipeline, and (ii) the Limited Liability Company Operating Agreement of Nutaaq Pipeline, LLC, an Alaska limited liability company, dated as of January 1, 2013, in each case, as in effect on the Third Amendment Effective Date.

Examples of Nutaaq Pipeline Organizational Documents in a sentence

  • Immediately upon the occurrence (or, to the extent occurring prior to the closing of the Savant Acquisition, no later than the date of such closing) of an event described in the definition of Nutaaq Pipeline Inclusion Date, a notice of such event in form and substance reasonably satisfactory to the Administrative Agent, together with evidence that the relevant restrictions contained in the Nutaaq Pipeline Organizational Documents have been removed, modified or waived.

  • New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).

  • Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.

  • Organizational Document means (i) relative to each Person that is a corporation, its charter and its by-laws (or similar documents), (ii) relative to each Person that is a limited liability company, its certificate of formation and its operating agreement (or similar documents), (iii) relative to each Person that is a limited partnership, its certificate of formation and its limited partnership agreement (or similar documents), (iv) relative to each Person that is a general partnership, its partnership agreement (or similar document) and (v) relative to any Person that is any other type of entity, such documents as shall be comparable to the foregoing.

  • Constituent Documents means with respect to any Person, as applicable, such Person’s certificate of incorporation, articles of incorporation, by-laws, certificate of formation, articles of organization, limited liability company agreement, management agreement, operating agreement, shareholder agreement, partnership agreement or similar document or agreement governing such Person’s existence, organization or management or concerning disposition of ownership interests of such Person or voting rights among such Person’s owners.

  • Operating Agreement means this Operating Agreement as originally executed and as amended from time to time.

  • Member organization means any individual, corporation, limited liability company, partnership, or association that belongs to an association.

  • Charter Documents means, with respect to any entity, the certificate of incorporation, the articles of incorporation, by-laws, articles of organization, limited liability company agreement, partnership agreement, formation agreement, joint venture agreement or other similar organizational documents of such entity (in each case, as amended).

  • Procurement organization means an eye bank, organ procurement organization, or tissue bank.

  • Constituent organization means an organization that is party to a merger.

  • MLP Partnership Agreement means the Amended and Restated Agreement of Limited Partnership of the MLP, as amended or restated from time to time.

  • Governing Instruments means, with regard to any entity, the articles of incorporation and bylaws in the case of a corporation, certificate of limited partnership (if applicable) and the partnership agreement in the case of a general or limited partnership, the articles of formation and the operating agreement in the case of a limited liability company, the trust instrument in the case of a trust, or similar governing documents, in each case as amended from time to time.
