Nasdaq Notice means the notice provided by Nasdaq in a letter to the Company, dated March 28, 2014 (and any subsequent, related correspondence) informing the Company that the Company was non-compliant with certain requirements for continued listing on the Nasdaq Stock Market, and informing the Company that the Company’s common stock would be suspended from listing on the Nasdaq Stock Market as of September 11, 2014.

If the Common Stock is not listed for trading on a U.S. national or regional securities exchange on the relevant date, the “Last Reported Sale Price” shall be the last quoted bid price for the Common Stock in the over-the-counter market on the relevant date as reported by OTC Markets Group Inc. or a similar organization. If the Common Stock is not so quoted, the “Last Reported Sale Price” shall be the average of the mid-point of the last bid and ask prices for the Common Stock on the relevant date from each of at least three nationally recognized independent investment banking firms selected by the Company for this purpose.

  • Repurchase Response Notice means a notice delivered by the Indenture Trustee at the direction of the Administrator to a Noteholder or Note Owner indicating that a Repurchase Request is unresolved.

  • Step-In Notice has the meaning set out in Section 3.1;
