Midsummer definition

Midsummer or “Agent”) as the Agent to act as specified herein and in the Agreement. Each Secured Party shall be deemed irrevocably to authorize the Agent to take such action on its behalf under the provisions of the Agreement and any other Transaction Document (as such term is defined in the Purchase Agreement) and to exercise such powers and to perform such duties hereunder and thereunder as are specifically delegated to or required of the Agent by the terms hereof and thereof and such other powers as are reasonably incidental thereto. The Agent may perform any of its duties hereunder by or through its agents or employees.
Midsummer means Midsummer Investment, Ltd., an entity organized under the laws of Bermuda.
Midsummer as herein used shall include Midsummer, any parent of Midsummer', any of Midsummer' subsidiaries and any co-subsidiaries of Midsummer' parent, whether now existing or hereafter created or acquired, and all of the terms, conditions, promises, covenants, provisions and warranties of this Agreement shall inure to the benefit of each of the foregoing, and shall bind the representatives, successors and assigns of each Assignor. Midsummer and each Assignor hereby (a) waive any and all right to trial by jury in litigation relating to this Agreement and the transactions contemplated hereby and each Assignor agrees not to assert any counterclaim in such litigation, (b) submit to the nonexclusive jurisdiction of any New York State court sitting in the borough of Manhattan, the city of New York and (c) waive any objection Midsummer or each Assignor may have as to the bringing or maintaining of such action with any such court.

Examples of Midsummer in a sentence

  • For an employee who works in accordance with his or her employment contract only in weekends, mid-week holidays or on Christmas or Midsummer Eve, it can be agreed that the salary is the same for each of the working hours.

  • Eve, Easter Saturday and Midsummer Eve Christmas Eve, Easter Saturday and Midsummer Eve are holidays, unless compelling production-specific reasons otherwise require.

  • When granting the annual holiday, all the other days except for Sundays, church holidays, Easter Saturday, May Day, Midsummer Eve, the Independence Day and Christmas Eve are counted as days of holiday.

  • Midsummer Eve and Christmas Eve are days off, and work carried out on these days shall be compensated for through granting of time off during regular working hours or via payment of compensation in the same manner as for overtime.

  • The requesting Party shall bear all out-of-pocket costs and expenses in connection therewith (which, for the avoidance of doubt, shall not include the costs and benefits of employees who are witnesses or any pro rata portion of overhead or other cost of employing such employees which would have been incurred by such employees’ employer regardless of the employees’ service as witnesses).

  • For the purposes of this agreement, ordinary weekdays shall not include Saturdays, Sundays, ec- clesiastical holidays, Christmas Eve, Midsummer Eve, Finnish Independ- ence Day or 1 May.

  • The Secured Parties (all capitalized terms used herein and not otherwise defined shall have the respective meanings provided in the Security Agreement to which this Annex B is attached (the "Agreement")), by their acceptance of the benefits of the Agreement, hereby designate Midsummer Investment Ltd.

Midsummer means Midsummer Ventures, LP and Midsummer Investment, Limited.
Midsummer has the meaning set forth in ss.6(b)(xii) below.
