Schedule 3.23 lists the Material Payors of the Business at each of the Acquired Centers on the basis of net revenues in accordance with the audited Financial Statement for services provided for the most recent fiscal year.
Seller has not received any written notice, and none of the Material Payors set forth in Section 4.09(a) of the Disclosure Schedules has ceased, or to Seller’s Knowledge, intends to cease after the Closing, to use the goods or services of the Business or to otherwise terminate or materially reduce its relationship with the Business.
