Major Brand definition

Major Brand means those names or brands developed by Licensee either of the Diamond Merger and the Bluegreen Merger that are associated with the Licensed Vacation Ownership Business or otherwise advertised or marketed with any Hilton Marks and which comprise a significant or material portion of Licensee’s business, including, but not limited to, any name or brand developed for the New Brand Offering or any new Exchange Program. Major Brand shall not include names or brands used to identify ancillary services, specific resorts (unless Hilton Marks are used) or benefits offered from time to time, such as ClubPartner Perks or Elite Privileges, nor shall Major Brand include any name, brand or Intellectual Property acquired by Licensee through the Diamond Merger and/or the Bluegreen Merger (unless used as part of the Licensed Vacation Ownership Business); provided, however, that Licensor shall not be prohibited from using such names or brands in the Lodging Business other marks that are registered trademarks.

Major Brand means the primary tradename or trademark

Examples of Major Brand in a sentence

  • If the Parties mutually agree to promote the sales of the Major Brand through the catalogues of B&M Group, B&M shall give priority visibility to the Major Brand relative to other jewelry brands except for the Birks brand and the Van Cleef & Arpels brand.

  • If Licensor does not terminate this Agreement within said thirty (30) days, then Licensor shall not have the right to terminate this Agreement for such Major Brand Event and will also not have the right to terminate this Agreement for another Major Brand Event for the next twelve (12) months.

  • Following any such Major Brand Event, Licensee shall reasonably cooperate with Licensor to rehabilitate the brand, at Licensee’s cost and expense, by taking all steps reasonably necessary to cure the Major Brand Event.

  • Licensee shall participate in any meetings and joint review sessions that may be reasonably requested by Licensor, including as a result of any Minor Brand Event or Major Brand Event.

  • As of the date of this Agreement, none of the Target Companies has received any notice or, to the Knowledge of the Company, has any reason to believe, that any of such Major Customer or Major Brand Partner (A) has ceased or substantially reduced, or will cease or substantially reduce, use of products or services of the Target Companies or (B) has sought, or is seeking, to reduce the price it will pay for the goods or services of the Target Companies.

  • Upon the occurrence of a Major Brand Event, Licensor shall have the right to terminate this Agreement within thirty (30) days following confirmation of the Major Brand Event.

  • As of the date of this Agreement, no such Major Customer or Major Brand Partner has otherwise threatened to take any action described in the preceding sentence as a result of the consummation of the Contemplated Transactions.
