Macquarie Canada Fairness Opinion means the opinion of Macquarie Canada provided to the PMI Board, dated December 5, 2012, a copy of which is attached to this Information Circular as Appendix F;
Fairness Opinion has the meaning set forth in Section 4.22.
Financial Advisor has the meaning set forth in Section 3.6.
Financial Advisors has the meaning set forth in Section 4.26.
Fairness Opinions means the opinions of the Financial Advisors to the effect that, as of the date of such opinion and based upon and subject to the assumptions, procedures, factors, limitations and qualifications set forth therein, the Consideration to be received by the Company Shareholders under the Arrangement is fair, from a financial point of view, to such Company Shareholders.
Company Financial Advisor has the meaning set forth in Section 3.10.
Independent Financial Advisor means an accounting, appraisal, investment banking firm or consultant to Persons engaged in Similar Businesses of nationally recognized standing that is, in the good faith judgment of the Issuer, qualified to perform the task for which it has been engaged.
Goldman means Xxxxxxx, Sachs & Co.
Financial Adviser means any:
Independent Financial Adviser means an independent financial institution of international repute appointed by the Company at its own expense.
Jefferies means Jefferies Finance LLC.
Xxxxx Fargo Securities means Xxxxx Fargo Securities, LLC.
Goldman Sachs means Goldman Sachs & Co. LLC.
BofA Securities means BofA Securities, Inc.
Investment Canada Act means the Investment Canada Act (Canada).
Barclays shall have the meaning assigned to such term in the preamble to this Agreement.
Placement Agent Agreement means that certain placement agent agreement dated as of the date hereof between the Company and the Placement Agent.
Morgan Stanley Broker means a broker-dealer affiliated with Morgan Stanley.
Barclays Capital is a reference to Barclays Capital, the investment banking division of Barclays Bank PLC;
Cantor shall have the meaning given in the Preamble.
Placement Agent Warrants shall have the meaning set forth in the Subscription Agreement.
Placement Agent means X.X. Xxxxxxxxxx & Co., LLC.
MLPFS means Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated.
Canadian Securities Commissions means the securities regulatory authorities in each of the Qualifying Jurisdictions;
Independent Investment Bank means one of the Reference Treasury Dealers that the Issuer appoints to act as the Independent Investment Bank from time to time.
RBC means Royal Bank of Canada.
CCMA means the Commission for Conciliation, Mediation and Arbitration established in terms of section 112 of the Labour Relations Act, 1995;
