Litigation and Investigations. There is no material litigation, action, or proceeding to which the Company is a party, nor to Seller's knowledge is any material litigation, proceeding or investigation threatened or pending by or against the Company as a result of its ownership of the Business Assets or operation of the Business or against the Business Assets or concerning the trustees of the Company Benefit Schemes (for which the Company is or would be liable) for any reason whatsoever; and the operation of the Business is not subject to any injunction, order, judgment, writ or decree to any material extent.
