LEI Stock means the Series A LEI common stock, par value $.01 per share, the Series B LEI common stock, par value $.01 per share, and if and when issued, the Series C LEI common stock, par value $.01 per share, and any series or class of stock into which the Series A, Series B, or Series C LEI common stock is redesignated, reclassified, converted or exchanged following the Effective Time (including stock of Holdings pursuant to the Xxxxxx Contribution and the LEI Merger).

Examples of LEI Stock in a sentence

  • As a result, 0.9 of each restricted share of Liberty Entertainment Stock will be redeemed for 0.9 of a share of the corresponding series of LEI Stock, and the remaining 0.1 of each restricted share of Liberty Entertainment Stock will be retained by the holder, subject to cash, in each case, in lieu of fractional shares.

Related to LEI Stock

  • Company Stock means, collectively, the Company Common Stock and the Company Preferred Stock.

  • Common Shares means the common shares in the capital of the Corporation;

  • Newco Stock means the common stock, par value $.01 per share, of NEWCO.

  • Plan Shares means shares of Common Stock held in the Trust which are awarded or issuable to a Participant pursuant to the Plan.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Common Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Shares, including, without limitation, any debt, preferred shares, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Shares.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Parent Stock means the common stock, par value $0.01 per share, of Parent.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Equivalent Shares means Preferred Shares and any other class or series of capital stock of the Company which is entitled to the same rights, privileges and preferences as the Preferred Shares.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Qualifying Preferred Stock means non-cumulative perpetual preferred stock of the Corporation that (a) ranks pari passu with or junior to all other preferred stock of the Corporation, and (b) either (x) is subject to a Qualifying Replacement Capital Covenant or (y) is subject to Intent-Based Replacement Disclosure and has a provision that prohibits the Corporation from paying any dividends thereon upon its failure to satisfy one or more financial tests set forth therein, and (c) as to which the transaction documents provide for no remedies as a consequence of non-payment of dividends other than Permitted Remedies.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • A Ordinary Shares means the A ordinary shares of £0.01 each in the capital of the Company;
