Issued Warrant shall have the meaning assigned to it in the introduction to this Warrant.

Examples of Issued Warrant in a sentence

  • The Company shall take all actions necessary to ensure that following exercise of this Warrant in accordance with the provisions of this Section 2, the Issued Warrant Shares issued hereunder shall, without further action by the Holder, be fully paid and nonassessable.

  • This Warrant and the rights evidenced hereby shall inure to the benefit of and be binding upon the successors and assigns of the Company, the holder hereof and (to the extent provided herein) the holders of Issued Warrant Shares, and shall be enforceable by any such holder.

  • Upon exchange of any Issued Warrant Shares, the Company will pay or make with respect to Issued Warrant Shares any dividends or other distributions that have been declared on the Warrant Shares in kind or cash, as the case may be.

  • The Company will pay all documentary stamp taxes attributable to the initial issuance of the Warrant and of the Issued Warrant Shares upon the exercise of the Warrant; provided, however, that the Company shall not be required to pay any tax or other governmental charge which may be payable in respect of any transfer or exchange of any Warrant certificates or any certificates for Warrant Shares in a name other than the registered holder of a Warrant certificate surrendered upon the exercise of a Warrant.

  • The Company further covenants that it shall pay all expenses in connection with the Issued Warrant Shares and the Issuable Warrant Shares.

  • If the Company shall list any shares of Common Stock on any securities exchange it will, at its expense, list thereon, maintain and increase when necessary such listing of, all Issued Warrant Shares and, to the extent permissible under the applicable securities exchange rules, all Issuable Warrant Shares, so long as any shares of Common Stock shall be so listed.

  • Notwithstanding anything to the contrary contained herein, the provisions of Sections 6 and 12 hereof shall survive the exercise of this Warrant in full by Holder and shall continue to be in full force and effect and inure to the benefit of the shareholders owning the Issued Warrant Shares until such time as there are no longer outstanding any Issued Warrant Shares.

  • The Holder, or any Person permissibly so designated by the Holder to receive Issued Warrant Shares, shall be deemed to have become the holder of record of such Issued Warrant Shares as of the Exercise Date.

  • On the Share Put Closing Date, the Holder of such Issued Warrant Shares shall deliver to the Company one or more certificates representing the shares being repurchased duly endorsed for transfer to the Company against payment therefor by (at the option of the Holder) wire transfer to an account in a bank located in the United States designated by the Holder for such purposes.

  • The purchase price under this Section 14 shall be determined by multiplying (x) the Repurchase Price as of the date of such Share Put Notice by (y) the number of Issued Warrant Shares specified in such Share Put Notice.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Series D Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to five (5) years, in the form of Exhibit C attached hereto.

  • Certificated Warrant means a Warrant evidenced by a writing or writings substantially in the form of Schedule “A”, attached hereto;

  • Warrant Shares means the shares of Common Stock issuable upon exercise of the Warrants.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Warrant Stock means Common Stock issuable upon exercise of any Warrant or Warrants or otherwise issuable pursuant to any Warrant or Warrants.

  • Series B Warrants means, collectively, the Series B Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof and the other Series B Warrants contemplated under Section 2.1 to be issued concurrently at the Closing, which Series B Warrants shall be exercisable beginning immediately and have a term of exercise equal to five (5) years, in the form of Exhibit B-2 attached hereto.

  • SPAC Warrants means the SPAC Public Warrants and the SPAC Private Placement Warrants.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Warrant means this Warrant and all Warrants issued in exchange, transfer or replacement thereof.

  • Existing Warrants means any warrants to purchase Common Stock outstanding on the date of this Agreement.

  • Parent Warrant means each Parent Private Warrant and Parent Public Warrant.

  • Series C Warrants means, collectively, the Series C Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 9 months, in the form of Exhibit A attached hereto.

  • Series A Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately from the Closing Date and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Warrant Securities means this Warrant and the Warrant Shares, collectively.

  • New Warrants means those certain warrants to purchase New Valaris Equity on the terms set forth in the New Warrant Agreement.

  • Uncertificated Warrant means any Warrant which is not a Certificated Warrant;

  • Unissued Option Shares means the number of Shares, at a particular time, which have been reserved for issuance upon the exercise of an Option but which have not been issued, as adjusted from time to time in accordance with the provisions of section 5, such adjustments to be cumulative.

  • Parent Warrants shall have the meaning assigned to it in Section 1.7(c) hereof.

  • Call Warrant As defined in the recitals.

  • Conversion Shares means, collectively, the shares of Common Stock issuable upon conversion of the shares of Preferred Stock in accordance with the terms hereof.

  • Issued Shares means, collectively, all outstanding Shares issued pursuant to Restricted Stock Awards, all outstanding Shares issued pursuant to Unrestricted Stock Awards, and all Option Shares.

  • Investor Warrants has the meaning given it in the recitals of this Agreement.

  • Series E Preferred Shares means the Series E Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Current Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date.
