Initial Market Price definition

Initial Market Price means the Market Price of the Common Shares prior to the execution of the Note Purchase Agreement;
Initial Market Price means the greater of (a) $5.00 per share of Common Stock, or (b) the average (rounded to the nearest full cent, with the cents rounded up if the third decimal place is 5 or more) of the closing sale prices of a share of Common Stock as reported on the Nasdaq Stock Market as of the end of the regular trading session, as reported in The Wall Street Journal, for the five (5) consecutive Nasdaq trading days ending on and including the Nasdaq trading day immediately preceding the date of this Agreement. It is acknowledged and agreed that the Initial Market Price is $7.10 per share.
Initial Market Price means $17.75 per share, and shall be proportionately adjusted for any: (i) dividend or distribution made on the Common Stock in shares of Common Stock; (ii) subdivision of the Common Stock into a greater number of shares; (iii) combination of the Common Stock into a smaller number of shares; or (iv) issuance of shares of capital stock by reclassification of the Common Stock.

  • Notwithstanding anything to the contrary contained in this Article V, in the event that the Average Daily Price of the Common Stock, as reported by the Reporting Service, for each day of the month ending on any Determination Date is below the Initial Market Price, the Borrower may, at its option, prepay a portion of the outstanding principal amount of the Notes equal to the principal amount hereof divided by thirty-six (36) plus one month’s interest.

More Definitions of Initial Market Price

Initial Market Price shall have the meaning set forth in section 2.1(a)(ii).
Initial Market Price means the sum agreed with the Council following the Initial Market Price Estimate, in terms of Clauses 5(c), 6(b) and 7(a);
Initial Market Price means (i) $1.08 (the “Threshold Price”) for any Purchaser that is not an officer, director, employee or consultant of the Company and (ii) $1.08 for any Purchaser that is an officer, director, employee or consultant of the Company.
