Examples of Infraserv Consent in a sentence

  • The LIP Asset Sale shall be subject to the condition subsequent (auflösend bedingt) that the Infraserv Consent is duly granted on or before the Infraserv Due Date (the “Condition Subsequent”).

  • The Parties shall promptly (i) engage in joint good faith negotiations with Infraserv regarding the Infraserv Consent, (ii) provide all information reasonably requested by Infraserv or appropriate to enable Infraserv to decide upon the Infraserv Consent, (iii) notify each other if and when the Infraserv Consent has been obtained, (iv) provide to the respective other party a copy of the Infraserv Consent, and (v) forward the original Infraserv Consent to the acting notary.

  • Promptly upon receipt of the Infraserv Consent (where such receipt occurs on or before the Infraserv Due Date) but in any event not later than within 1 (one) Business Day following receipt, the Seller shall transmit the Notification to Sanofi-Aventis to start the 2 (two) months period for Sanofi-Aventis to consider exercise of its ROFR.

  • If Infraserv Consent has not been obtained on or before the Infraserv Due Date, the Parties may at their absolute discretion (nach freiem Ermessen) jointly agree in writing to extend the Infraserv Due Date or shall (i) withdraw their request for Infraserv Consent, (ii) terminate discussions in this respect and (iii) proceed to the LIP Asset Sale Closing.

  • The Purchaser shall deliver to the Seller a copy of the duly executed guarantee of its ultimate parent company, substantially in the form attached to the Infraserv Consent.

  • Required Consent has the meaning set forth in Section 4.4.

  • Governmental Consent means any notice to, registration, declaration or filing with, exemption or review by, or authorization, order, consent or approval of, any Governmental Entity, or the expiration or termination of any statutory waiting periods;

  • Development Consent means the consent granted to the Development Application for the Development and includes all modifications made under section 4.55 of the Act.

  • Informed consent means a documented written agreement to allow a proposed action, treatment, or service after full disclosure provided in a manner the individual or his or her guardian understands, of the relevant facts necessary to make the decision. Relevant facts include the risks and benefits of the action, treatment, or service; the risks and benefits of the alternatives to the action, treatment, or service; and the right to refuse the action, treatment, or service. The individual or his or her guardian, as applicable, may revoke informed consent at any time.

  • Third Party Consent means any Consent of a Person other than a Governmental Authority.

  • Assignment of Management Agreement means the Assignment of Management Agreement and Subordination of Management Fees, dated the same date as this Loan Agreement, among Borrower, Lender and Property Manager, including all schedules, riders, allonges and addenda, as such Assignment of Management Agreement may be amended from time to time, and any future Assignment of Management Agreement and Subordination of Management Fees executed in accordance with Section 6.09(d).

  • Consent Agreement means this Consent Agreement, duly signed and concluded between the Commission and the Respondent, as contemplated in section 40(1) of the Act.

  • CPUC Approval means a final and non-appealable order of the CPUC, without conditions or modifications unacceptable to the Parties, or either of them, which contains the following terms:

  • Unanimous Consent Consent of Revolving Credit Lenders (other than Delinquent Revolving Credit Lenders) holding 100% of the Loan Commitments (other than Loan Commitments held by a Delinquent Revolving Credit Lender).

  • Environmental Authorizations means all licenses, permits, orders, approvals, notices, registrations or other legal prerequisites for conducting the business of the Borrower or any Subsidiary required by any Environmental Requirement.

  • UCC Filing Authorization Letter means a letter duly executed by each Loan Party authorizing the Collateral Agent to file appropriate financing statements on Form UCC-1 without the signature of such Loan Party in such office or offices as may be necessary or, in the opinion of the Collateral Agent, desirable to perfect the security interests purported to be created by each Security Agreement and each Mortgage.

  • Hotel Management Agreement means any management agreements between a Hotel Management Company and Lessee and/or Landlord, as applicable, as such management agreements are amended from time to time for the Hotel.

  • Special Approval means approval by a majority of the members of the Conflicts Committee.

  • Disclosure Statement Approval Order means the Final Order approving, among other things, the adequacy of the Disclosure Statement pursuant to section 1125 of the Bankruptcy Code.

  • Lender Consent means any lender consent delivered by a Lender on the Closing Date in the form of Exhibit 4.1(a).
