  • SEB shall be liable for, and shall indemnify and hold harmless the Health Care Systems Group and the Instruments Group from and against any liability for, any Restructuring Tax to the extent arising from any breach of SEB's representations or covenants under Section 10 or any Tainting Act by SEB or its Affiliates.
