GE O&G Subsidiary definition

GE O&G Subsidiary has the meaning ascribed thereto in the Transaction Agreement.
GE O&G Subsidiary has the meaning set forth in the Transaction Agreement, as determined on the date of the Original TMA. “GE Refund” means any Tax Refund and including interest received from the relevant Taxing Authority with respect to: • Taxes assessed on Nuovo Xxxxxxx Holding Spa for omitted income deriving from deemed loans to GE Industrial Financing Ireland LTD for the 2007 and 2008 taxable years (matter currently pending at the Italian Supreme Court); • Pre-Closing Income Taxes attributable to any GE Retained Matters; and • Italian credits in the amount of approximately $15MM arising from the prepayment of Pre-Closing Taxes related to GE businesses other than the Oil & Gas business. “GE Retained Matter” means each of the following: • Pre-Closing Income Taxes imposed on Nuovo Xxxxxxx Holding Spa and Nuovo Xxxxxxx International Srl that are solely and exclusively attributable to, or directly related to, those disputes with the following references (Riferimento atto): TMB0E4S00778-14, TMB0E4S00782-14, TMB0E4S00088-15, TMB0E4S00339-16, avviso liquidazione S1T n. 010363-000 a001, TMB0E4S00772-14, TMB084S00662-14, TMB084M00029-14,
