FRA Transaction definition

FRA Transaction means a transaction that is used to hedge against interest rate risk in which the Contracting Parties agree the FRA Rate that will apply to the Notional Amount for the full FRA Period and which will be settled according to the applicable conditions of these Terms and Conditions. More detailed basic information on FRA Transactions is given in point III of Annex 1 in these Terms and Conditions.

Examples of FRA Transaction in a sentence

  • In the case when the Customer was the payer of the Fixed Interest Rate in the primary FRA Transaction, he/she shall be the payer of the Floating Interest Rate in the closing FRA Transaction.

  • In the case when the Customer was the payer of the Floating Interest Rate in the primary FRA Transaction, he/she shall be the payer of the Fixed Interest Rate in the closing FRA Transaction.

  • The object of a FRA Transaction is an agreement of the Contracting Parties concluded for the purposes of hedging against interest rate risk in which on the Trade Date the Contracting Parties agree the FRA Rate for a given Notional Amount, which will be in effect for the full FRA period.

  • In the FRA Transaction, only one Calculation Period is determined.

  • In order to conclude an FRA Transaction the Bank and the Client must agree on at least the following parameters of the FRA Transaction: ▪ the Notional Amount; ▪ the Effective Date and the Termination Date; ▪ the FRA Rate.

  • No later than three (3) Business Days before the Calculation Period Settlement Date, the Customer has the right to close the FRA, which consists in agreeing on the Terms of the opposite FRA Transaction.

  • An FRA Transaction is concluded at the moment when the Contracting Parties agree on the above particulars of the FRA Transaction.

  • When entering into the closing FRA Transaction, the Customer and the Bank shall agree on the Transaction Terms specified in Article 2 paragraph 8 above, however, they shall agree on the FRA Closing Rate instead of the Fixed Interest Rate.

  • The calculation of the Settlement Amount of the FRA Transaction that has not been closed in the manner referred to in Article 2 paragraph 10 – Article 2 paragraph 13 below shall be performed in accordance with the formula specified in Article 2.7 above, assuming that the Settlement Interest Rate is equal to the Floating Interest Rate of the quotation on the Fixing Date.

  • The calculation of the Settlement Amount of the FRA Transaction that has been closed shall be performed in accordance with the formula specified in Article 2 paragraph 7 above, assuming that the Settlement Interest Rate is equal to the FRA Closing Rate.

Related to FRA Transaction

  • M&A Transaction means (i) the consolidation of the Company with, or a merger with or into, any third party, following which the Company’s stockholders immediately prior to such transaction, will own less than 50.1% of the surviving entity or the Company, as applicable, immediately following such transaction, or (ii) an acquisition or other transfer of all or substantially all of the Company’s securities or assets.

  • Void Transaction means any transaction wherein the transaction has taken place but has been cancelled /rejected /unsuccessful by the Alliance Partner.

  • SPAC Transaction means a transaction or series of related transactions by merger, consolidation, share exchange or otherwise of the Company with a publicly traded “special purpose acquisition company” or its subsidiary (collectively, a “SPAC”), immediately following the consummation of which the common stock or share capital of the SPAC or its successor entity is listed on the Nasdaq Stock Market, the New York Stock Exchange or another exchange or marketplace approved by the Board of Directors, including a majority of the Preferred Directors.

  • Pawn transaction means the same as that term is defined in Section 13-32a-102.

  • Merger Transaction means any merger, acquisition or similar transaction involving a recapitalization as contemplated by Rule 10b-18(a)(13)(iv) under the Exchange Act.

  • Roll-Up Transaction means a transaction involving the acquisition, merger, conversion or consolidation either directly or indirectly of the Company and the issuance of securities of a Roll-Up Entity to the Shareholders. Such term does not include:

  • Exchange Transaction means an exchange of Units for Common Units pursuant to, and in accordance with, the Exchange Agreement or, if the Issuer and the exchanging Limited Partner shall mutually agree, a Transfer of Units to the Issuer, the Partnership or any of their subsidiaries for other consideration.

For the avoidance of doubt, announcements as used in the definition of Acquisition Transaction Announcement refer to any public announcement whether made by the Issuer or a third party.

  • Factoring Transaction means any transaction or series of transactions that may be entered into by the Borrower or any Subsidiary pursuant to which the Borrower or such Subsidiary may sell, convey, assign or otherwise transfer (or purport to sell, convey, assign or otherwise transfer) Securitization Assets (which may include a grant of security interest in such Securitization Assets so sold, conveyed, assigned or otherwise transferred or purported to be so sold, conveyed, assigned or otherwise transferred) to any Person.

  • Subsequent Transaction has the meaning set forth in Section 1.08.

  • Termination Transaction has the meaning set forth in Section 11.2.B hereof.

  • Reorganization Transaction see clause (d) of the definition of “Change of Control.”

  • Payment Transaction means an act, initiated by the payer or on his behalf or by the payee, of placing, transferring or withdrawing funds, irrespective of any underlying obligations between the payer and the payee;
