The Notional Amount and registered numbers of the Preferred Shares held by any Person, and the date of his holding the same, shall be proved by the register of members maintained with respect to the Preferred Shares.
The Officer’s Certificate must be on the Holder’s letterhead, carry proof of ownership and a medallion stamp guarantee and set forth the following information: (i) the CUSIP number of each Exchangeable Note and Exchanged Note; (ii) the Aggregate Outstanding Amount and the Aggregate Outstanding Notional Amount, as applicable, of the Notes to be exchanged; (iii) the Holder’s DTC participant name and numbers to be debited and credited; and (iv) the proposed exchange date.
On each Payment Date, Available Funds that constitute Principal Proceeds under the Indenture shall be distributed to the Class P Preferred Shares, until the Class P Notional Amount has been reduced to zero.
Interest on the MASCOT Interest Only Notes is calculated on a balance equal to the Aggregate Outstanding Notional Amount of such MASCOT Interest Only Notes which shall, as of any date, equal the Aggregate Outstanding Amount on such date of the related MASCOT P&I Note.
The Class X Dividend Rate will be applied to the Class X Notional Amount.
