Founders’ Solicitors means Xxxxx Xxxxxx LLP of 0 Xxxxxxxx Xxxx, Xxxxxxxx'x Xxx, Xxxxxx XX0X 0XX;
Purchaser’s Solicitors means Xxxxx & Xxxxx of Xxx Xxx Xxxxxx, Xxxxxx XX0X 0XX;
Vendor’s Solicitors means Baker & McKenzie or Chu & Lau (as the casemaybe, please refer to the first page of this tender document); and
Seller’s Solicitors means Xxxxx & XxXxxxxx LLP of 000 Xxx Xxxxxx Xxxxxx, Xxxxxx XX0X 0XX;
Buyer’s Solicitors means Xxxxxx Xxxxxxx LLP of 0 Xxx Xxxxxx Xxxxxx, Xxxxxx XX0X 0XX;
Founders’ Shares means 1,000 shares with a par value of $1 per share, 500 of which were issued to MACRO Securities Depositor, LLC and 500 of which were issued to Claymore Securities, Inc., in exchange for the Initial Deposit.
Company U.S. Counsel means Xxxxxx Xxxxxxx Xxxxxxxx & Xxxxxx, Professional Corporation.
Selling Shareholders sections in substantially the form attached hereto as Exhibit B. The Company shall use its reasonable best efforts to have the Initial Registration Statement declared effective by the SEC as soon as practicable, but in no event later than the Initial Effectiveness Deadline. By 9:30 a.m. New York time on the Business Day following the Initial Effective Date, the Company shall file with the SEC in accordance with Rule 424 under the 1933 Act the final prospectus to be used in connection with sales pursuant to such Initial Registration Statement.
Purchaser Counsel has the meaning set forth in Section 6.2(a).
Controlling Shareholders means controlling shareholders of the Company, as such term is defined in the Ordinance.
Scheme Shareholders means the registered holders of Scheme Shares at the relevant time.
Purchaser’s Counsel means Xxxxxx Xxxxxx Xxxxxxx LLP.
seaman means any person forming part of the crew of any 6*** ship, but does not include the master of 7*[the] ship;
Initial Shareholders means the Sponsor, the Directors and officers of the Company or their respective affiliates who hold shares prior to the IPO;
Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.
barrister means the barrister, practising as a member of the Bar of England and Wales, who is supplying the Services in accordance with the Agreement; a "Business Day" means a day that is neither a weekend nor a public holiday in England;
Company Counsel means Xxxxxxxxxx PLLC, with offices located at 0000 Xxxxxxxxxxx Xxxxxx, XX, Xxxxx 000, Xxxxxxxxxx, XX 00000.
Sale Shares shall have the meaning set forth in Recital B above; and
Placement Agent means X.X. Xxxxxxxxxx & Co., LLC.
Law firm means both of the following:
Principal Shareholders means Xxxx X. Xxxx, Xxx X. Xxxxxxx and Xxxxx X. Xxxxxx, and their respective assignees or successors in interest.
Founders means all Members immediately prior to the consummation of the IPO.
