Form 10 Filing means the registration statement on Form 10 filed by the Borrower with the Securities and Exchange Commission in respect of the Spin-off on April 3, 2001, as amended on May 18, 2001 and June 11, 2001.
Form 10 Filing means the registration statement filed by Global Payments on Form 10 with the SEC, as the same has been supplemented, modified or amended on or before the date hereof.
