FlexComp Plan means the Xxxxxx Restaurants, Inc. FlexComp Plan, as amended.

Examples of FlexComp Plan in a sentence

  • If a Participant will first become eligible to participate in the FlexComp Plan after December 31 of a Plan Year but prior to the end of such Plan Year, such Participant may make a deferral election conditioned on the granting of a FlexComp Award for such Plan Year (a "Conditional Election"), if made prior to December 31st of that Plan Year.

  • The Committee may permit a Participant to elect to transfer shares of Restricted Stock to the Company in exchange for a deferred compensation right or Restricted Stock Units or elect to defer receipt of all or a portion of the shares of Common Stock subject to Restricted Stock Units, all on such terms and conditions as the Committee shall determine (including through the terms of the FlexComp Plan).

  • In order to defer all or a portion of the cash Award for a particular bonus period, a Participant must make a valid election under the FlexComp Plan by executing and filing a deferral election form with the Company pursuant to the terms of the FlexComp Plan.

  • The FlexComp award amounts shall be determined in good faith on a basis that is consistent with the FlexComp award contributions historically made by Xxxxxx under the FlexComp Plan for its other similarly situated employees.
