Finance Debt Any material indebtedness (whether actual or contingent) in respect of money borrowed or raised or other financial accommodation.
Dealing • Any payment, or any delivery or handing over of an asset, to; or • any acquisition, incurring of Finance Debt, receipt, sale, lease, disposal or other dealing, by, the Security Owner or any Receiver, Attorney or Authorised Person, or any Person who purports or is purported to be a Receiver or Attorney.

The Notes will (save for certain obligations required to be preferred by law) rank in priority to all other existing and future unsecured obligations of the Issuer from time to time outstanding and will rank senior in right of payment to all existing and future subordinated Finance Debt of the Issuer.
