Existing Owner Registry definition

Existing Owner Registry means the registry of Persons who are owners of the Auction Rate Notes, maintained by the Auction Agent as provided in the Auction Agent Agreement.
Existing Owner Registry means the register maintained by the Auction Agent pursuant to Section 2.2 hereof.

  • If as a result of any such reconciliation a discrepancy is discovered between the records of the Broker-Dealers and the Existing Owner Registry maintained by the Auction Agent pursuant to Section 2.2(a) of the Auction Agreement, such Existing Owner Registry shall be adjusted to conform to the records of the Broker-Dealers.

  • If any of the Corporation, the BD or the Trustee requests that the Auction Agent reconcile the number of Units for which a Broker-Dealer is listed as the Broker-Dealer in the Existing Owner Registry maintained by the Auction Agent pursuant to Section 2.2(a) of the Auction Agreement with the records of the Broker-Dealers, the Auction Agent may, but shall not be required to, perform such reconciliation with the consent of the Corporation.

  • If either the Fund or the BD requests that the Auction Agent reconcile the number of AMPS for which a Broker-Dealer is listed as the Broker-Dealer in the Existing Owner Registry maintained by the Auction Agent pursuant to Section 2.2(a) of the Auction Agreement with the records of the Broker-Dealers, the Auction Agent may, but shall not be required to, perform such reconciliation with the consent of the Fund.

  • If as a result of such reconciliation it is discovered that there are AMPS for which no Broker-Dealer has made known to the Auction Agent a Securities Depository participant account, such AMPS will be reflected in the Existing Owner Registry maintained by the Auction Agent pursuant to Section 2.2.(a) of the Auction Agreement as belonging to the lead underwriter/Broker-Dealer.


More Definitions of Existing Owner Registry

Existing Owner Registry means the register of Existing Owners maintained by the Auction Agent pursuant to Section 2.2(b)(i) hereof.
