Exchange Approval definition

Exchange Approval means approval of the issuance of Common Stock or Common Stock Equivalents contemplated by this Agreement by the NYSE American, which approval shall be obtained as soon as practicable following the favorable vote therefor at the Company’s annual or special stockholders meeting.
Exchange Approval means approval of the issuance of Common Stock contemplated by this Agreement by the Principal Market, which approval shall be obtained (i) in the case of the initial Conversion Shares in a number equal to the Exchange Cap and (ii) in the case of the remaining Conversion Shares, no later than five (5) calendar days after the Company shall have obtained Shareholder Approval to issue such Conversion Shares.

More Definitions of Exchange Approval

Exchange Approval means any approval given by the Exchange under the Exchange Requirements. “Exchange Requirements” includes the following:
