Until the consummation of the Transaction (as defined in the Exchange Agreement), the Company shall not, and shall cause its Affiliates not to, directly or indirectly: (i) transfer, sell, swap, stake, pledge, lend, encumber, or otherwise use or dispose of any Tokens in the Token Reserve; (ii) commingle any Tokens in the Token Reserve with any other digital assets of the Company; or (iii) permit any third party to have access to, or control over, any Reserve Wallet or private keys relating thereto.

The Company has all requisite power and authority to own, license, and operate its properties, to carry on its business as now conducted and as proposed to be conducted, and to execute and deliver this Agreement, the Stockholders' Agreement and the Exchange Agreement and to perform its obligations hereunder and thereunder.
Other than as contemplated by the Exchange Agreement, the Investor has no present arrangement to sell the Shares to or through any person or entity.
The execution and delivery by the Company of this Agreement, Stockholders' Agreement and the Exchange Agreement and the consummation by the Company of the transactions contemplated hereby and thereby have been duly authorized by all necessary action on the part of the Company.
