On February 17, 2026, after the Issuer receives your Old Notes and your delivery instructions as set forth above, and subject to the satisfaction of the conditions to Closing as set forth in your Exchange Agreement, the Issuer will pay the Cash Consideration and the Company will deliver the Exchange Shares in accordance with the delivery instructions above.
Each of the parties to this Exchange Agreement agrees to execute and deliver such further instruments and do such further acts as may be reasonably necessary to carry out the purposes of this Exchange Agreement.

Neither this Exchange Agreement nor any provisions hereof may be modified, changed, discharged or terminated except by an instrument in writing, signed by the party against whom any waiver, change, discharge or termination is sought.
