Excess Cash Flow Amount definition

Excess Cash Flow Amount has the meaning specified in Section 2.05(b)(ii).
Excess Cash Flow Amount means an amount which initially shall be zero and which shall be (i) increased on the date of delivery of Section 7.01 Financials in respect of the first three fiscal quarters in each year of the Borrower (commencing with the fiscal quarter ended June 30, 2001) by an amount (if positive) equal to 75% of Excess Cash Flow for the fiscal quarter in respect of which such Section 7.01 Financials are delivered, provided that in the event that Excess Cash Flow for the first and/or second fiscal quarter in any fiscal year is negative, then for purposes of this clause (i) the Excess Cash Flow for the third fiscal quarter in such fiscal year shall be deemed to be reduced by the amount of such negative Excess Cash Flow for such first and/or second quarter, and (ii) increased on the date of delivery of Section 7.01 Financials in respect of each fiscal year of the Borrower by an amount (if positive) equal to 75% of the Excess Cash Flow for such fiscal year less an amount (if any) equal to the aggregate amount by which the Excess Cash Flow Amount was increased pursuant to clause (i) above in respect of the first, second and third quarters in such fiscal year.
Excess Cash Flow Amount means, for any Excess Cash Flow Period, an amount equal to 75% of the Excess Cash Flow for such Excess Cash Flow Period.

Excess Cash Flow Amount means for each of Covenant Obligors' Fiscal Years, fifty percent (50%) of the amount remaining after subtracting (i) the sum of (A) Borrowers' scheduled principal payments and other principal payments on the Term Loans for such Fiscal Year, PLUS (B) the amount by which the Overadvance Amount has been permanently reduced pursuant to the scheduled monthly reductions of the Overadvance Amount for such Fiscal Year, PLUS (C) Unfinanced Capital Expenditures for such Fiscal Year, PLUS (D) payments of Covenant Obligors with respect to Capitalized Leases for such Fiscal Year from (ii) the sum of (A) Covenant Obligors' Net Income for such Fiscal Year, PLUS (B) depreciation and amortization for such Fiscal Year.
Excess Cash Flow Amount means, as of the date of determination, an aggregate amount equal to 75% of the Excess Cash Flow for such prior fiscal year. For example, if the date of determination is April 30, 2012, Excess Cash Flow shall be calculated for the fiscal year ended December 31, 2011.

Excess Cash Flow Amount means for any Applicable Period, an amount equal to the lesser of (i) the applicable Excess Cash Flow Percentage for such Applicable Period multiplied by the Excess Cash Flow during such Applicable Period and (ii) Excess Net Cash on the last day of such Applicable Period; provided, that if the Excess Cash Flow Amount is less than or equal to $1.0 million during any Applicable Period, the Company shall not be required to make an Excess Cash Flow Offer in respect of the Notes during such Applicable Period and such Excess Cash Flow Amount shall be added to the Excess Cash Flow Amount for each subsequent Applicable Period until the Excess Cash Flow Amount for any one Applicable Period exceeds $1.0 million; provided, further, that the foregoing proviso shall not apply to Excess Cash Flow Amounts applied to the redemption of the PIK Preferred Stock.
