The Sellers shall afford, and shall cause the Companies and Subsidiaries to afford, the Purchaser and its respective representatives reasonable opportunity to review the preparation of the Estimated Statement of Working Capital, including supporting detail, undertaken by the Sellers.
The Estimated Statement of Working Capital shall be prepared in accordance with the Accounting Principles.
The Initial Purchase Price to be paid at the Closing shall be decreased dollar for dollar to the extent the Working Capital set forth on the Estimated Statement of Working Capital is less than the Target Working Capital (the "Closing Adjustment").

As soon as practicable following the Closing, the Purchaser shall, upon request, deliver a copy of all books and records of the Seller relating to the Business and acquired by the Purchaser pursuant hereto to the shareholders of the Seller in sufficient detail to enable such shareholders to prepare the Seller's financial statements, the Estimated Statement of Working Capital, Final Statement of Working Capital and all Tax Returns of the Seller relating to periods ending on or prior to the Closing Date.
