ERS Program definition

ERS Program means Applied's Evaluated Receipts Settlement Program, which is a system for payment of invoices.
ERS Program means Applied's "Evaluated Receipts Settlement Program," which is a system for payment by Applied for Items purchased hereunder, as described in Section 2.11.
ERS Program means Applied's Evaluated Receipts Settlement Program, which is a system for payment of invoices. "FGI" means Finished Goods Inventory.

Examples of ERS Program in a sentence

  • If Supplier participates in Applied's ERS Program, Supplier will provide Pro Formas pursuant to Section 2.1.7, but otherwise will not provide invoices to Applied for sales of Items to which that program applies.

  • For all other Items, Supplier will include all applicable federal, state, and local taxes, where applicable, on Supplier's invoices, or (when payment is made under Applied's ERS Program) in Pro Formas, stated as a separate item.

  • Subject to the terms and conditions of this Agreement, CTV hereby grants to Solazyme a non-exclusive, worldwide, irrevocable, sublicensable (only as set forth in Section 5.4.2), royalty-free license, for the Research Program Term, under any Program IP covering (i) CTV ERS Program Technology, (ii) CTV PTF Program Technology, or (iii) CTV Other Program Technology solely for Solazyme and its Affiliates to conduct Solazyme’s activities under the Research and Development Plan.

  • If the Parties agree that Supplier will not participate in the ERS Program, then Supplier will remit an Item invoice to Applied no earlier than when the Item is shipped to Applied and adhere to the requirements for invoices section of Invoicing Requirements for Non-ERS Suppliers located on the Applied Web Site.

  • The terms and conditions of the ERS Program are as set forth in ERS Program Requirements located on the Applied Web Site.

  • The Parties shall also consult in good faith with respect to whether the applicable Program Patents covering Joint ERS Program Technology, Joint PTF Program Technology, and Joint Other Program Technology are being adequately protected and as to whether, and what, further action is reasonably necessary to protect such rights.

  • Joint ERS Program Technology, CTV ERS Program Technology, Solazyme PTF Program Technology, and Joint PTF Program Technology.

  • The Parties to any Joint ERS Program Technology, Joint PTF Program Technology, or Joint Other Program Technology shall use commercially reasonable efforts to determine whether to retain any such Program Technology as a trade secret and not file a patent application with respect thereto.

  • CTV shall have the right, but not the obligation, to initiate any legal action, at its sole expense, to enforce CTV’s rights under any CTV ERS Program Technology, CTV PTF Program Technology, or CTV Other Program Technology.

  • Solazyme shall be responsible for and shall control, at its sole expense, in consultation with CTV (provided that such consultation shall only take place if it can be done consistent with the provisions of Section 2.1.1), the preparation, filing, prosecution and maintenance of all Program Patents claiming Solazyme ERS Program Technology, Solazyme PTF Program Technology, or Solazyme Other Program Technology.
