Definition of Environmental Compliance Liabilities
Environmental Compliance Liabilities means any and all Liabilities relating to, resulting from or arising out of actual or alleged violations of, or non-compliance with, any Environmental Law, including a failure to obtain, maintain or comply with any Environmental Permits, including, without limitation, fines, penalties, mitigation damages and the costs and expenses (including, but not limited to, capital expenditures) required to address such actual or alleged violations or non-compliance; provided for purposes of clarification, that Environmental Compliance Liabilities do not include Liabilities associated with the investigation or remediation of Hazardous Substances that have been Released into the indoor or outdoor environment or associated natural resource restorations and damages or Off-Site Environmental Liabilities.

DuPont shall be responsible for the management and control of Environmental Compliance Liabilities that are DuPont Retained Liabilities and Chemours shall be responsible for the management and control of Environmental Compliance Liabilities that are Chemours Assumed Environmental Liabilities.
With respect to Environmental Compliance Liabilities: (a) For each claim made in good faith between the Closing Date and the day immediately prior to the second anniversary of the Closing Date: one hundred percent (100%) of the Losses arising from such claim.
