Eligible Wholesale Disposables definition

Eligible Wholesale Disposables means, as of any date of determination, all Wholesale Disposables of Borrower which (i) conform to the requirements of Section 1.7 of the Agreement, and (ii) at all times continue to be acceptable to the Agent in its commercially reasonable judgment.
Eligible Wholesale Disposables at any time, all Wholesale Disposables of the Borrower and the Guarantors which (i) conform to the representations and warranties contained in the Security Agreement, and (ii) at all times, continue to be acceptable to the Collateral Agent in its commercially reasonable judgment.

  • Duly executed originals of an initial Borrowing Base Certificate, dated the Closing Date, reflecting information concerning Eligible Accounts, Eligible Rental Equipment, Eligible Wholesale Disposables and Eligible Equipment Disposables as of September 30, 2003.

  • Eligible Finished Goods Inventory means Eligible Inventory consisting of finished goods available for sale (as determined in a manner acceptable to the Administrative Agent in its Permitted Discretion and consistent with past practices).

  • Eligible Equipment means Equipment of the Company or a Grantor which the Administrative Agent, in the exercise of its reasonable commercial discretion, determines to be Eligible Equipment. Without limiting the discretion of the Administrative Agent to establish other criteria of ineligibility, Eligible Equipment shall not (unless otherwise agreed to by the Administrative Agent) include any Equipment:

  • Wholesale distribution means distribution of prescription drugs to persons other than consumers or

  • Cannabis wholesaler means any licensed person or entity that purchases or otherwise obtains, stores, sells or otherwise transfers, and may transport, cannabis items for the purpose of resale or other transfer to either another cannabis wholesaler or to a cannabis retailer, but not to consumers.

  • Marijuana wholesaler means a person who purchases marijuana items in this state for resale to a person other than a consumer.

  • Eligible business means a business located within the counties of Cook, DuPage, Kane, Lake, McHenry or Will in the State of Illinois (the “Six County Region”), and as to which: (1) a majority of the business' fleet is located and used within the Six County Region; and (2) a majority of those vehicles located and used within the Six County Region are alternatively powered vehicles.

  • Sale at wholesale or "wholesale" means a sale to motor vehicle dealers or wholesalers other than to

  • Eligible Products collectively means certain Dell and Dell EMC hardware, software product(s) and services related to the Dell Technologies Client Solutions Group (“CSG”) and Infrastructure Solutions Group (“ISG”) lines of business in the product categories (each an “Eligible Product Category”).
