Notwithstanding the foregoing, a trade ticket or other confirmation of trade in respect of such sale of Collateral delivered by the Borrower (or the Collateral Manager on its behalf) to the Collateral Agent, the Securities Intermediary or the Document Custodian shall constitute certification as to the matters described in this Section 8.09, and the Collateral Agent, the Securities Intermediary or the Document Custodian, as applicable, may conclusively rely on such certification.
To the extent received by a Responsible Officer, none of the Collateral Administrator, Document Custodian or Collateral Agent shall have a duty to inquire into or investigate the authenticity or authorization of any such electronic signature and shall be entitled to conclusively rely on any such electronic signature without any liability with respect thereto.
The Document Custodian shall be protected in acting upon any instruction, notice, request, consent, certificate instrument or paper reasonably believed by it to be genuine and to have been properly executed or otherwise given by or on behalf of the Borrower, the Collateral Manager or Administrative Agent, as applicable, by an Authorized Person thereof.
In the event of any discrepancy between the information set forth in any report provided by the Document Custodian to the Borrower and any information contained in the books or records of the Borrower, the Borrower (or the Collateral Manager, on behalf of the Borrower) shall promptly notify the Document Custodian thereof and the parties shall cooperate to diligently resolve the discrepancy.
Amounts owing to the Document Custodian hereunder shall be payable in accordance with the Priority of Payments.
